1. Introduction and Definitions

These Terms and Conditions govern the purchase of, enrolment in and access to online courses provided through the website and learning portal available at https://www.e-pba.fr Portal.

The Portal is operated by Paris Business Academy, a company registered in France, whose registered office is located at 7 allée Sainte Lucie, 92130 Issy les Moulineaux, France (“Paris Business Academy”, “PBA”, “we”, “us” or “our”).

The online courses, course materials, assessments, student-support services and related Portal features are collectively referred to as the “Services”.

By creating an account, purchasing or enrolling in an Online Course, accessing Course Materials or otherwise using the Services, you confirm that you have read, understood and agreed to these Terms.

2. Scope and Contractual Documents

These Terms apply to all users of the Portal, including prospective students, enrolled students, customers and, where applicable, the parents or legal guardians of students under the age of 18.

The following documents also form part of the agreement between you and PBA:

  1. the relevant course description or course outline;
  2. our Privacy Notice;
  3. our Cookie Policy;
  4. any academic integrity, assessment or student-conduct policy communicated to you;
  5. any payment plan or enrolment agreement accepted by you; and
  6. any specific conditions clearly presented before you complete your purchase.

Where a specific course condition conflicts with these general Terms, the specific course condition will apply to that matter, provided that it does not unlawfully restrict your mandatory consumer rights.

3. Eligibility and Account Registration

You must maintain an active personal account to enrol in an Online Course or access Course Materials.

When creating an account, you must:

  1. register personally in your own legal name;
  2. provide complete, accurate and current information;
  3. use a valid email address that you regularly monitor;
  4. keep your account details updated;
  5. accept these Terms and the applicable Privacy Notice; and
  6. comply with any identity-verification requirements that apply to the relevant Online Course.

You must be at least 18 years old and legally capable of entering into a contract.

Where a person under the age of 18 is permitted to enrol, their parent or legal guardian must review and accept these Terms, authorise the purchase and enrolment, and provide any legally required consent relating to the minor’s personal data.

We may request reasonable evidence of identity, age, parental authority, academic qualifications or eligibility before confirming or continuing an enrolment.

4. Account Security

Your account is personal to you. You must not share your username, password, access link or authentication credentials with any other person.

You are responsible for:

  1. choosing a secure password;
  2. keeping your login credentials confidential;
  3. logging out after using a shared device;
  4. preventing unauthorised access to your account; and
  5. notifying us promptly if you suspect that your account has been compromised.

You must contact us immediately at info@paris-business-academy.com if you become aware of unauthorised access or use.

We may temporarily suspend access while investigating a suspected security incident. We will not be responsible for losses caused by your failure to protect your login credentials, except where the loss results from our own breach of applicable law or failure to apply reasonable security measures.

5. Nature of the Online Courses

Unless the relevant Course Outline states otherwise, our Online Courses are:

  1. delivered remotely through the Portal;
  2. primarily provided on demand;
  3. designed to allow students to progress according to the applicable course schedule;
  4. accessed using the student’s own compatible device and internet connection; and
  5. delivered without a requirement to attend a physical PBA location.

Some Online Courses may include scheduled activities, tutor meetings, live sessions, virtual examinations, deadlines or mandatory participation requirements. These requirements will be stated in the Course Outline or communicated to you in advance.

6. Course Information

Each Online Course has a Course Outline containing information that may include:

  1. course title and learning objectives;
  2. entry requirements;
  3. expected duration;
  4. module and syllabus information;
  5. available Course Materials;
  6. teaching and support arrangements;
  7. assessment methods;
  8. completion and certification requirements;
  9. technical requirements;
  10. course fees and payment arrangements; and
  11. any specific participation conditions.

You must review the Course Outline before enrolling.

We may provide podcasts, videos, advertisements, summaries or promotional materials describing an Online Course. These materials provide general information only. Where they conflict with the written Course Outline or enrolment information shown at the time of purchase, the written Course Outline and checkout information will prevail.

7. Enrolment and Entry Requirements

To enrol, you must select an Online Course, complete the required registration process, provide the requested documents and pay the applicable fees.

Certain courses may require previous qualifications, professional experience, language proficiency, identification documents or other evidence of eligibility.

By submitting documents, you confirm that they are authentic, accurate, complete and unaltered.

We may:

  1. verify submitted documents;
  2. request additional information;
  3. delay confirmation while verification remains incomplete;
  4. reject an application where entry requirements are not met; or
  5. suspend or cancel an enrolment where documents are false, misleading, fraudulent or materially incomplete.

Where we reject your application before providing the Online Course, we will refund amounts paid for that course, subject to any lawful and clearly disclosed administrative charge.

8. Prices and Payment

Course prices are displayed in euros and include applicable taxes unless clearly stated otherwise.

Available payment methods and payment plans will be shown during enrolment. We may offer:

  1. payment in full; or
  2. instalment payments according to an agreed schedule.

You are responsible for bank fees, card fees or currency-conversion charges imposed by your payment provider.

Where you choose an instalment plan:

  1. you must make each payment by its due date;
  2. access to future modules may depend on receipt of the relevant instalment;
  3. missed payments may lead to restricted or suspended access; and
  4. the full amount may remain payable even if you stop participating, subject to your statutory rights and any applicable cancellation provisions.

We may use third-party payment providers. Their separate terms and privacy policies may apply to the payment transaction.

9. Consumer Right of Withdrawal

Where you purchase an Online Course as a consumer through the Portal, you may have a statutory right to withdraw from the contract within 14 days without giving a reason.

The withdrawal period generally begins on the date the contract is concluded.

To exercise this right, you must send us a clear statement before the withdrawal period expires.

9.1 Access during the withdrawal period

Where you request access to an Online Course or digital Course Materials before the 14-day withdrawal period expires, we will ask you to:

  1. expressly request that access or performance begin immediately;
  2. expressly acknowledge the circumstances in which you will lose your right of withdrawal; and
  3. confirm your agreement through the appropriate checkbox, electronic declaration or other durable method.

For digital content not supplied on a physical medium, you will lose your withdrawal right only where the legally required conditions have been satisfied, including your prior express consent to immediate access, your express acknowledgement of the loss of the withdrawal right and our confirmation of your agreement.

For services that have begun during the withdrawal period at your express request but have not been fully performed, you may be required to pay a proportionate amount for the service supplied before your withdrawal, where permitted by law.

Merely creating an account will not, by itself, remove a statutory withdrawal right.

9.2 Refunds following withdrawal

Where you validly exercise a statutory withdrawal right, we will refund the amount due without undue delay and no later than 14 days after receiving your withdrawal notification.

Unless otherwise agreed, we will use the same payment method used for the original transaction. We will not impose a refund fee, although your payment provider may apply its own currency or banking charges.

Nothing in this section restricts any mandatory rights available to you under French or other applicable consumer law.

10. Course Materials

Course Materials may include:

  1. academic orientation sessions;
  2. recorded lectures;
  3. animated videos;
  4. podcasts;
  5. interviews or panel discussions;
  6. presentations;
  7. quizzes;
  8. assignments;
  9. examinations;
  10. reading lists; and
  11. other educational resources.

Not every Online Course includes every type of material. The applicable materials will be described in the Course Outline.

Where we provide recommended readings, books, journal articles or external publications, you may need to obtain access to them independently unless the Course Outline states otherwise.

11. Access Period and Device Restrictions

Course Materials remain accessible for the period stated in the Course Outline.

Unless otherwise stated, access may continue for an additional review period equal to the expected course duration. Access ends when:

  1. the applicable access period expires;
  2. your account is closed or terminated;
  3. you fail to make a required payment;
  4. the course is completed and its access period ends; or
  5. access must be restricted for legal, security or disciplinary reasons.

Access is limited to a maximum of three personal devices per registered student unless we authorise otherwise.

Only one device may access the Course Materials at a time. Simultaneous logins, account sharing or access by unauthorised persons are prohibited.

12. Permitted Use and Prohibited Activities

We grant you a limited, personal, revocable, non-exclusive and non-transferable right to access the Course Materials for your own educational and non-commercial use.

Unless we expressly authorise it in writing, you must not:

  1. share your account or Course Materials with another person;
  2. download materials that are not marked as downloadable;
  3. copy, reproduce, publish, distribute, sell or licence Course Materials;
  4. record the screen, audio, video or live sessions;
  5. photograph or capture Course Materials;
  6. broadcast or transmit Course Materials;
  7. remove copyright, watermark or ownership notices;
  8. bypass access, device or security restrictions;
  9. use automated tools, bots, scraping systems or artificial means to access the Portal;
  10. reverse engineer or attempt to extract the Portal’s source code;
  11. impersonate another student;
  12. allow another person to complete learning activities or assessments on your behalf; or
  13. use the Services for an unlawful or fraudulent purpose.

We may investigate suspected misuse and may suspend access while an investigation takes place.

13. Student Identity and Engagement Verification

13.1 Purpose of verification

To protect the integrity of our courses, verify that the registered student is accessing the Course Materials, prevent account sharing and confirm genuine participation, we may use proportionate identity and engagement-verification measures.

These measures may include login records, device information, course activity logs, video progress records, periodic confirmations and camera-based snapshots.

13.2 Camera access during course videos

Where camera-based verification applies to an Online Course, you will receive a clear notice before the monitoring begins.

While you actively watch designated course videos, the Portal may request permission to access your device’s camera and may automatically capture a still image approximately once every five minutes.

The snapshots are intended to help us:

  1. confirm that the registered student remains present;
  2. detect possible account sharing or impersonation;
  3. validate attendance or participation records;
  4. investigate suspected academic or contractual misconduct; and
  5. protect the integrity of certificates and course-completion records.

Unless we clearly notify you otherwise:

  1. the system will capture still images rather than continuous video;
  2. the system will not record audio;
  3. snapshots will only be taken while a designated video is actively playing and the verification function is enabled;
  4. we will not use the snapshots for advertising;
  5. we will not sell the snapshots;
  6. we will not publish or publicly disclose the snapshots; and
  7. we will not use facial-recognition, emotion-recognition or other biometric identification technology.

If PBA intends to use biometric identification, facial-recognition technology, artificial-intelligence analysis or any materially different monitoring method, we will provide separate and specific information in advance and establish an appropriate legal basis before doing so.

13.3 Camera permission and student responsibilities

Where camera verification forms a disclosed and necessary participation condition, you must:

  1. use a functioning camera-compatible device;
  2. grant the required browser or application permission;
  3. position yourself so that your face is reasonably visible;
  4. ensure that no other person appears unnecessarily in the camera view;
  5. avoid displaying confidential, sensitive or private information in the background;
  6. use the monitoring function only in a suitable and lawful environment; and
  7. refrain from covering, disabling, manipulating or attempting to bypass the camera-verification system.

Technical permission to access your camera does not, by itself, determine the legal basis on which we process your personal data. The applicable legal basis and complete processing information will be stated in our Privacy Notice and any monitoring notice displayed before activation.

13.4 Failure or interruption

Where the camera is blocked, unavailable, disabled or repeatedly fails to confirm presence, the Portal may:

  1. pause the course video;
  2. request a new verification;
  3. prevent the session from being recorded as completed;
  4. request manual identity verification; or
  5. refer the session for review.

A single missing, unclear or unsuccessful snapshot will not automatically establish misconduct.

We will consider relevant technical problems, accessibility requirements and other reasonable explanations before taking adverse action.

13.5 Alternative verification and accessibility

Students who cannot use camera verification because of disability, accessibility needs, lack of suitable equipment, safety concerns or another legitimate reason should contact us at info@paris-business-academy.com before starting the affected Course Material.

Where reasonably possible and consistent with course integrity, we will consider an appropriate alternative, such as:

  1. manual identity verification;
  2. periodic on-screen confirmation;
  3. a supervised verification session;
  4. document-based verification; or
  5. another proportionate method.

Any decision affecting enrolment, certification or disciplinary status will not be based solely on an unclear image or an automated monitoring alert without appropriate human review.

13.6 Misuse of the verification system

You must not:

  1. submit an image of another person;
  2. use photographs, recorded videos, virtual cameras or manipulated feeds;
  3. permit another person to remain in front of the camera in your place;
  4. interfere with the monitoring software;
  5. provide false explanations concerning verification failures; or
  6. attempt to obtain course-completion credit without genuinely participating.

Confirmed misuse may lead to the invalidation of attendance records, withholding or revocation of a certificate, suspension or termination of access, and any other proportionate action permitted by law.

14. Privacy and Camera Snapshot Data

Camera snapshots, account information, activity logs and verification records constitute personal data.

We will process such data in accordance with the General Data Protection Regulation, French data-protection law and our Privacy Notice.

Before camera monitoring starts, we will provide information including:

  1. the identity and contact details of the data controller;
  2. the purposes of the monitoring;
  3. the applicable legal basis;
  4. whether providing the data is mandatory and the possible consequences of not providing it;
  5. the categories of personal data collected;
  6. the recipients or categories of recipients;
  7. whether service providers process the data on our behalf;
  8. any transfer outside the European Economic Area and the relevant safeguards;
  9. the applicable retention period;
  10. whether automated decision-making is used;
  11. your data-protection rights; and
  12. how to contact us or complain to the competent supervisory authority.

Snapshots will be accessible only to authorised personnel and approved service providers who require access for legitimate educational, technical, security, compliance or dispute-management purposes.

We will retain camera snapshots only for the period reasonably necessary for the stated purposes.

The standard retention period will be 90 days after the relevant verified session, unless:

  1. a shorter period applies;
  2. an investigation or dispute requires temporary preservation;
  3. a legal obligation requires longer retention; or
  4. the relevant data has been securely anonymised.

After the applicable period, the snapshots will be securely deleted or irreversibly anonymised.

Subject to applicable law, you may have rights to:

  1. access your personal data;
  2. correct inaccurate data;
  3. request deletion;
  4. restrict processing;
  5. object to processing;
  6. receive certain data in a portable format;
  7. withdraw consent where consent is the legal basis; and
  8. lodge a complaint with the Commission Nationale de l’Informatique et des Libertés, or another competent supervisory authority.

15. Assessments and Examinations

An Online Course may include quizzes, assignments, projects, examinations or other forms of assessment.

The Course Outline will describe, where applicable:

  1. assessment types;
  2. submission deadlines;
  3. marking criteria;
  4. minimum passing grades;
  5. permitted resources;
  6. examination rules;
  7. reassessment opportunities; and
  8. applicable reassessment fees.

You must complete assessments personally and comply with all academic-integrity rules.

16. Virtual Examination Monitoring

A virtual examination may require:

  1. identity verification;
  2. continuous or periodic webcam use;
  3. microphone access;
  4. screen monitoring;
  5. browser restrictions;
  6. room or environment checks; or
  7. supervision by an authorised proctor.

We will notify you in advance of the monitoring method, technical requirements, applicable data processing and examination rules.

You are responsible for testing your device, internet connection, webcam, microphone and required software before the examination.

Where monitoring is required, we will apply appropriate privacy, security and proportionality measures and provide any legally required notices.

Violations may result in investigation, invalidation of results, reassessment, disciplinary action, suspension or termination, depending on the seriousness of the matter.

17. Certificates and Reassessment

Students who complete the required activities and meet the applicable passing criteria may receive a Certificate of Achievement.

Students who complete the required participation activities but do not meet the passing criteria may receive a Certificate of Attendance, where the relevant course permits it.

Certificates do not represent a state-recognised diploma, regulated qualification, professional licence or authorisation to practise unless the Course Outline expressly states otherwise.

Where reassessment is available, its conditions, fees, deadlines and attempt limits will appear in the Course Outline.

Unless otherwise stated:

  1. one reassessment attempt may be offered without an additional charge;
  2. a further attempt may require payment of a fee; and
  3. repeated failure may require the student to repeat the relevant module and pay the applicable fee.

18. Student Support and Discussion Areas

Where included in the Online Course, we may provide:

  1. an E-Mentor or academic contact;
  2. technical support;
  3. discussion boards;
  4. student messaging functions; and
  5. academic feedback.

Information posted by other students does not represent official academic advice and may not have been verified by PBA.

You must communicate respectfully and must not post material that is:

  1. unlawful;
  2. threatening, abusive or harassing;
  3. discriminatory;
  4. defamatory;
  5. obscene or sexually explicit;
  6. fraudulent or misleading;
  7. harmful to another person’s privacy;
  8. infringing of intellectual-property rights;
  9. unrelated spam or advertising; or
  10. disruptive to the learning environment.

We may moderate, restrict or remove content and may take proportionate action against users who breach these standards.

19. Student Obligations

You agree to:

  1. provide accurate and current information;
  2. participate personally and honestly;
  3. complete required activities and assessments;
  4. meet relevant deadlines;
  5. behave professionally and respectfully;
  6. comply with academic-integrity requirements;
  7. use the Portal only for authorised educational purposes;
  8. comply with applicable laws;
  9. protect your account credentials;
  10. follow reasonable technical and security instructions; and
  11. avoid conduct that damages the Portal or interferes with another user.

20. Intellectual Property

The Portal, Course Materials and content provided by PBA or its licensors, including text, recordings, videos, graphics, software, trademarks, logos, layouts and databases, are protected by intellectual-property law.

Except for the limited personal licence granted under these Terms, no intellectual-property right is transferred to you.

You may not use PBA’s name, logo, content or trademarks for commercial, promotional or misleading purposes without prior written permission.

21. Student-Submitted Content

You retain ownership of original content that you submit, including assignments, comments, photographs or other materials (“Student Content”).

You grant PBA a non-exclusive, royalty-free licence to store, reproduce, review, assess and otherwise use Student Content to:

  1. deliver the Online Course;
  2. assess your work;
  3. provide feedback;
  4. maintain academic records;
  5. investigate academic-integrity matters;
  6. comply with legal obligations; and
  7. defend legal claims.

This licence will last only for as long as reasonably required for these purposes, except where the content has been lawfully anonymised.

You confirm that your Student Content:

  1. is your own work or lawfully used;
  2. does not infringe another person’s rights;
  3. does not contain unlawful or malicious material; and
  4. complies with academic-integrity requirements.

You should retain your own copies of important submissions.

22. Third-Party Services and External Content

We may use or link to third-party services, including video-hosting, payment, communication, hosting, cloud-storage, analytics and proctoring providers.

Third-party services may be governed by separate terms and privacy policies.

We do not control the continuing availability of third-party platforms. However, where a third-party failure materially prevents delivery of a paid Online Course, we will take reasonable steps to restore access, provide an appropriate alternative or offer another remedy required by law.

23. Availability and Technical Requirements

You are responsible for maintaining:

  1. a compatible device;
  2. a reliable internet connection;
  3. a supported browser;
  4. required software;
  5. a functioning camera or microphone where disclosed as necessary; and
  6. appropriate device security.

We do not guarantee uninterrupted access at all times. Maintenance, cybersecurity events, third-party outages or circumstances outside our reasonable control may temporarily affect availability.

We will take reasonable measures to restore affected Services.

Nothing in these Terms excludes your statutory rights where digital content or a digital service fails to conform to the contract.

24. Changes to Courses and Services

We may make reasonable changes to:

  1. course content;
  2. academic schedules;
  3. instructors or mentors;
  4. delivery methods;
  5. Course Materials;
  6. assessment arrangements;
  7. technical systems; or
  8. security and verification procedures.

We will make such changes only where reasonably necessary, including to improve academic quality, maintain accuracy, comply with law, address security issues or respond to operational circumstances.

Where a change materially and adversely affects an enrolled student, we will provide reasonable notice and an appropriate remedy where required by law.

If we permanently discontinue an Online Course before you can complete it, we may offer:

  1. transfer to an equivalent course;
  2. continued access to alternative materials;
  3. a credit; or
  4. a full or proportionate refund.

The appropriate remedy will depend on the circumstances and your statutory rights.

25. Suspension and Termination

We may suspend or terminate an account where:

  1. you materially breach these Terms;
  2. you fail to make a required payment;
  3. you share your account;
  4. you misuse Course Materials;
  5. you engage in fraud, impersonation or academic misconduct;
  6. you manipulate camera or examination verification;
  7. your conduct threatens the security of the Portal;
  8. continued access would breach the law or a court order; or
  9. your conduct creates a serious risk to other users or PBA.

Except where urgent action is reasonably necessary, we will notify you of the reason and provide a reasonable opportunity to respond before making a final decision.

Any action taken will be proportionate to the circumstances.

Termination does not automatically remove payment obligations that arose before termination. However, nothing in this section removes your mandatory consumer rights.

You may request closure of your account at any time. Account closure does not necessarily delete information that we must retain for legal, financial, academic, fraud-prevention or dispute-management purposes.

26. Security and Prohibited Technical Conduct

You must not:

  1. introduce viruses, malware or harmful code;
  2. attempt unauthorised access;
  3. attack the Portal through denial-of-service methods;
  4. interfere with servers, databases or networks;
  5. circumvent security controls;
  6. reverse engineer protected software;
  7. scrape or extract data without permission;
  8. overload the infrastructure;
  9. use another person’s account; or
  10. manipulate monitoring or identity-verification systems.

We may report suspected criminal activity to the relevant authorities.

27. Liability

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by law, including liability for:

  1. fraud or fraudulent misrepresentation;
  2. death or personal injury caused by negligence;
  3. deliberate or grossly negligent misconduct where liability cannot lawfully be limited; or
  4. breach of mandatory consumer rights.

Subject to the above and to the fullest extent permitted by law, PBA will not be liable for indirect or unforeseeable losses that do not arise naturally from our breach.

We are not responsible for losses caused exclusively by:

  1. your incompatible device or inadequate internet connection;
  2. your failure to follow technical instructions;
  3. your unauthorised sharing of account credentials;
  4. third-party systems outside our reasonable control; or
  5. events of force majeure.

Any financial limitation of liability will apply only where lawful and reasonable and will not deprive a consumer of mandatory legal remedies.

28. Force Majeure

We will not be responsible for delay or failure caused by circumstances beyond our reasonable control, including natural disasters, major network failures, government action, war, terrorism, civil unrest, public-health emergencies, labour disruption or widespread utility failures.

We will take reasonable steps to minimise the effect and resume the Services.

29. Complaints

You may submit a complaint to:

  1. your name;
  2. account or enrolment number;
  3. course name;
  4. a clear description of the issue; and
  5. the remedy you are requesting.

We will acknowledge and investigate complaints within a reasonable period.

30. Data Protection

We process personal data in accordance with:

  1. Regulation (EU) 2016/679, the General Data Protection Regulation;
  2. applicable French data-protection legislation; and
  3. our Privacy Notice.

Our Privacy Notice explains the categories of information collected, purposes, legal bases, recipients, retention periods, international transfers, security measures and your rights.

31. Changes to These Terms

We may update these Terms to reflect:

  1. legal or regulatory changes;
  2. changes to the Services;
  3. new security requirements;
  4. new technology;
  5. changes in business operations; or
  6. improvements in clarity.

Where a change materially affects an existing enrolment, we will provide reasonable advance notice.

Changes will not retroactively remove rights that have already arisen or materially alter a paid contract without a valid legal basis.

The version applicable to your purchase will normally be the version presented when you enrolled, subject to mandatory legal changes and any updates that you validly accept.

32. Assignment

You may not transfer your account, enrolment or rights under these Terms to another person without our written permission.

We may transfer our rights and obligations to another organisation as part of a restructuring, sale, merger or transfer of business, provided that the transfer does not reduce your mandatory rights. We will notify you where required.

33. Waiver and Severability

A failure or delay in enforcing a provision does not waive the right to enforce it later.

If a provision is found unlawful, invalid or unenforceable, it will be interpreted or limited to the minimum extent necessary. The remaining provisions will continue to apply.

34. Entire Agreement

These Terms, the Course Outline, enrolment information, Privacy Notice and any other expressly incorporated document form the agreement between you and PBA concerning the Online Course.

Nothing in this section excludes liability for fraud or prevents you from relying on mandatory information or consumer rights.

35. Governing Law and Jurisdiction

These Terms are governed by French law.

Any dispute may be brought before the competent French courts.

Where you are a consumer residing in another European Union or European Economic Area country, this choice of law and jurisdiction does not deprive you of mandatory protections or jurisdictional rights available under the law applicable to you.
